Terms of Service

1. Software License Grant & Commercial Ownership

Upon commissioning or deploying a turnkey instance of Paperbound, Ben Tran Digital grants the client organization a perpetual, commercial, non-exclusive license to host, operate, and utilize the compiled Software on the designated licensed domain.

Paperbound operates with zero recurring monthly software licensing fees. You own and control your instance indefinitely without per-seat or per-user SaaS subscription charges.

2. Local-First Architecture & Client Backup Responsibility

Paperbound is engineered as a decentralized, local-first system. Primary business records, active quote proposals, customer details, and catalog pricing reside exclusively on your physical devices (IndexedDB storage) and your designated cloud backup accounts.

3. Digital Signatures & Legal Compliance (ESIGN & UETA)

Paperbound provides electronic signature capture compliant with the United States Electronic Signatures in Global and National Commerce Act (ESIGN) and the Uniform Electronic Transactions Act (UETA).

Each executed contract embeds cryptographic SHA-256 audit digests, signatory identity verification challenges, and UTC timestamps. However, the parties to each agreement are solely responsible for verifying that their contracts meet the substantive legal requirements of their specific jurisdiction and industry.

4. Third-Party Edge Services (Stripe, Google Drive, Resend)

Paperbound integrates directly with third-party service providers:

• Stripe: Payment processing, deposit collection, and ACH transfers are governed by Stripe's Connected Account Agreement.
• Google Drive & Dropbox: Cloud backup archival is governed by the respective cloud provider terms.
• Resend: Automated transactional contract email delivery is governed by Resend API terms.

5. Limitation of Liability & Warranty Disclaimer

The Software is provided "AS IS" without warranties of any kind, express or implied. To the maximum extent permitted by law, Ben Tran Digital shall not be held liable for indirect, incidental, consequential, or punitive damages, including data loss resulting from unauthorized browser cache deletion, physical hardware failure, lost device pairing keys, or third-party API service interruptions.
